Responsibilities of Board Members as Defined by PBCMS Bylaws
- Serve as the governing body of the Medical Society
- Attend monthly Board of Directors meeting
- Act upon charges against members of the Medical Society upon which the Board of Censors & Mediation has found probable cause.
- Receive and consider reports from committee chairs and board members
- Appoint delegates to the state, national, foreign and medical scientific societies, except to the FMA and AMA which are provided by Bylaws.
- Be responsible for interpretation of Bylaws
- Approve appointments to all committees with appointed members.
- Fill vacancies of elected office for unexpired term.
President
- Preside at board meetings
- Co-author board agendas with executive director
- Serve as ex-officio member of all committees
- Work in partnership with executive director to make sure board resolutions are carried out
- Call special meetings if necessary
- Appoint all committee chairs and recommend who will serve on committees
- Assist in conducting board member orientation for new members
- Work with nominating committee to recruit new board members
- Act as a spokesperson for the organization
- Manage group development of organization
- Maintain organizational integrity
- Coordinate the executive director’s performance evaluation
- Coordinate board assessment
- Consult with board members on their roles and help them assess their performance.
- Maintain open communication with membership.
- Sign certificates of the delegates of the Florida Medical Association and other such documents as directed by the boar of directors
President-Elect
- Carry out special assignments as requested by the board president
- May attend meetings of all standing committees and the nominating committee
- Understand the responsibilities of the board president and be able to perform these duties in the president’s absence
- Become familiar with the business and affairs of the organization
First-Vice-President
- Carry out special assignments as requested by the board president
- Serve as Chair of the Membership/Membership Development Committee
Second Vice-President
- Serve as Chair of the Strategic Planning Committee
- Carry out special assignments as requested by the board president
- Understand the responsibilities of the First Vice-President and be able to perform these duties in the president’s absence
- Serve as co-chair of the Membership Committee
Secretary
- Maintain all board records and ensure their accuracy and safety
- Review board minutes
- Assume responsibilities of the Second Vice-President in the absence of the Second Vice-President
- Provide notice of meetings of the board and/or of a committee when such notice is required
- Report on correspondence to the Board of Directors
- Notify members of their appointment to committees and of their election to office.
Treasurer
- Serve as a Chairman of the Finance Committee
- Knowledge of the organization and personal commitment to its goals and objectives
- Understanding of financial accounting for nonprofit organizations
- Manages, with the Finance Committee, but board’s review of and action related to the board’s financial responsibilitie
- Works with the Executive Director to ensure an appropriate financial report is made available to the board on a timely basis
- Assists the Executive Director in preparing the annual budget and presenting the budget to the board for approval
- Mail each member a statement for dues and assessments
- On April 1st notify each member of their arrearage and penalty for nonpayment.
Executive Committee
- Conduct emergency business on behalf of the Board of Directors between scheduled meetings
- Provide oversight of all matters related to the Society's office and management, finances, and other matters as are referred to it by the President.
- Report all actions to the Board of Directors
- A quorum shall consist of a single majority of the members
